Terms of Service

These Terms of Service (“Terms”) govern your use of FlowState (the “Service”), provided by Olive Green Holdings Limited, a company registered in New Zealand (“we”, “us”, or “FlowState”). By creating an account or using the Service, you agree to these Terms.

1. The Service

FlowState is a productivity application designed with people with ADHD in mind. It provides task breakdown, visual focus timers, energy-aware suggestions, optional calendar integration, optional AI assistance, and related features. We may add, change, or remove features from time to time.

2. Your account

  • You must be at least 13 years old (or 16 in the EEA/UK) to use FlowState. If you are under the age of majority in your jurisdiction, you must have a parent or guardian's permission.
  • You are responsible for keeping your account credentials secure and for all activity under your account.
  • Provide accurate information when signing up. If any of it changes, keep it up to date.

3. Subscriptions and payments

3.1 Free plan

FlowState offers a free plan with limits on active tasks, Brain Dump sessions, and access to AI features. The free plan does not require a credit card.

3.2 FlowState Pro

FlowState Pro is available for USD $6.99/month or USD $49/year, billed in advance via Stripe. Prices may vary by currency and are shown at checkout. Local taxes may apply.

3.3 Free trial

First-time subscribers receive a 7-day free trial. You will not be charged during the trial. If you do not cancel before the trial ends, your subscription will begin and your card will be charged. You can cancel at any time during the trial from Settings → Billing.

3.4 Renewal

Paid subscriptions renew automatically at the end of each billing period (monthly or yearly) until cancelled. You authorise us and Stripe to charge your payment method on each renewal.

3.5 Cancellation

You can cancel at any time from Settings → Billing, or by emailing support@flowstateapp.app. Cancellation takes effect at the end of your current billing period — you keep Pro access until then.

3.6 Refunds

We generally do not offer refunds for partial billing periods, but we honour any refund right required by the law of your country (for example, EU/UK right of withdrawal, Australian Consumer Law, or New Zealand Consumer Guarantees Act). If you subscribed through the Apple App Store or Google Play, refunds are handled by Apple or Google under their respective policies.

3.7 In-app purchases via Apple or Google

If you subscribe through the Apple App Store or Google Play, your subscription is governed by Apple or Google's payment terms in addition to these Terms, and must be managed (including cancelled) through your Apple or Google account settings.

4. Acceptable use

You agree not to:

  • Use the Service to violate any law or the rights of others.
  • Attempt to gain unauthorised access to other users' accounts or to our systems.
  • Reverse engineer, decompile, or scrape the Service except as permitted by law.
  • Upload malicious code, send spam through our email features, or interfere with the operation of the Service.
  • Resell, sublicense, or white-label the Service without a written agreement with us.

We may suspend or terminate accounts that violate these Terms. If your account is terminated for cause, refunds are not provided.

5. Your content

You retain all rights to the content you create in FlowState (tasks, notes, reflections). You grant us a limited licence to store, process, and display your content solely to provide the Service to you. We will never sell your content, use it for advertising, or use it to train AI models.

6. Our intellectual property

The Service, including its software, design, brand, and written content, is owned by Olive Green Holdings Limited and is protected by copyright, trade mark, and other laws. We grant you a personal, non-exclusive, non-transferable, revocable licence to use the Service for your own personal or internal business use, subject to these Terms.

7. Third-party services

The Service integrates with third-party services (Stripe, Google, Microsoft, Apple, Resend, OpenAI). Your use of those services is subject to their own terms. We are not responsible for the acts or omissions of third parties, but we choose reputable providers and review their practices periodically.

8. Disclaimers

FlowState is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

FlowState is a productivity tool, not a medical or mental-health service. It is not a substitute for advice, diagnosis, or treatment from a qualified healthcare professional. If you are experiencing a mental-health crisis, please contact your local emergency services or a crisis line.

9. Limitation of liability

To the maximum extent permitted by law, our total aggregate liability for any claim arising out of or relating to the Service is limited to the greater of (a) the amount you paid us in the 12 months before the claim, or (b) USD $100. We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.

Nothing in these Terms limits any liability that cannot be limited by law, including statutory consumer rights.

10. Indemnity

You agree to indemnify and hold harmless Olive Green Holdings Limited and its officers, employees, and agents from any claim arising out of your misuse of the Service or breach of these Terms, except to the extent caused by our own negligence or wilful misconduct.

11. Termination

You can delete your account at any time from Settings → Account. We may suspend or terminate your account if you breach these Terms, if we are required to by law, or if we discontinue the Service. On termination, your right to use the Service ends and we will delete your data in accordance with our Privacy Policy.

12. Changes to the Service or Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or in-app at least 14 days before they take effect (except where a shorter period is required by law or needed for security). Continued use of the Service after changes take effect means you accept the updated Terms.

13. Governing law and disputes

These Terms are governed by the laws of New Zealand, without regard to its conflict-of-law rules. Disputes will be resolved exclusively in the courts of New Zealand, except where mandatory local consumer-protection law in your country gives you the right to bring proceedings in your local courts.
